For issuance of scrip shares, when should listing approval be sought? After the submission deadline of the scrip dividend election form, the registrar will tabulate how many shareholders choose scrip and how many choose cash dividend. Upon ascertaining the number of scrip shares to be alloted, listing application (Form C1) should be submitted (which should be at least FOUR CLEAR BUSINESS DAYS before the proposed date for issuing the securities). After listing approval is obtained, the registrar will then allot the scrip shares and despatch the share certificates to the shareholders which choose scrip dividend.

Most listed issuers which already have a dividend policy in place or have a consistent dividend payment history would only disclose their dividend policy in the annual report but they would not publish any inside information announcement.

Why some listed issuers published the "inside information" announcement when they adopted their dividend policy? Pursuant to item 35 of the Guidelines on Disclosure of Inside Information published by the SFC, changes to the dividend policy is listed as one of the examples of possible inside information concerning the corporation. Hence, some listed issuers published the inside information announcement pursuant to MB L.R. 13.09.

The Listing Rules do not explicitly mandate the adjournment of shareholders’ meetings due to bad weather.  We notice usually listed issuers would postpone their shareholders' meetings if typhoon no. 8 or above is hoisted but not for black rain. One reason maybe, public transportation service is still available during black rain but not during typhoon. HKSCC has reminded the listed issuers that pursuant to the Guide to Eligibility and Admission of Securities to the Central Clearing and Settlement System, the last share registration date must be set at least four business days before the meeting date. In response to HKSCC reminder, some share registrars recommend their clients to adopt a book closure period of four business days instead of three. MB Listing Rules 13.39 (4) states that "Any vote of shareholders at a general meeting must be taken by poll except where the chairman, in good faith, decides to allow a resolution which relates purely to a procedural or administrative matter to be voted on by a show of hands." Procedural and administrative matters include, for example, adjourning a meeting by resolution to: (a) ensure orderly conduct of the meeting. (e.g. if the meeting facilities to house the number of members attending has become inadequate); or (b) maintain the orderliness of the meeting, e.g. if it becomes impossible to ascertain the views of the members, or there is disorder or threat of disorder from members or if there is a disturbance caused by members or the uninvited public; or (c) respond to an emergency such as a fire, a serious accident or hoisting of tropical cyclone warning signal No. 8 during a meeting; or (d) announce results at the end of the annual general meeting.
